Please read these Terms of Service ("Terms," "Agreement") carefully before using the Medexium website and services at medexium.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

- • We sometimes use AI to process bids, which may produce errors
- • You are solely responsible for verifying all information at the original government source
- • We are not liable for missed deadlines, inaccurate information, or business decisions
1. Acceptance of Terms
By creating an account, subscribing to our Service, or using any features of Medexium, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Medexium provides a subscription-based platform that researches, filters, and presents medical and healthcare-related government bid opportunities, RFPs, and contracts from various public sources across the United States.
The Service is an informational tool only. We:
- Research publicly available bid information from government sources
- Sometimes use AI and automated systems to filter and categorize opportunities
- Provide search, filtering, and tracking features for convenience
- DO NOT guarantee the accuracy, completeness, or timeliness of any bid information
- DO NOT guarantee contract awards, business outcomes, or any specific results
- DO NOT verify the accuracy of information extracted from government sources
You acknowledge that bid information displayed on our platform may be outdated, incomplete, or inaccurate, and you agree to independently verify all information at the original government source before taking any action.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Service. By registering, you represent that all information you provide is accurate and complete.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We are not liable for any loss or damage arising from your failure to secure your account.
3.3 One Account Per User
Each subscription is for a single user. Account sharing, credentials sharing, or allowing multiple users to access a single account is prohibited.
4. Subscriptions and Payment
4.1 Billing
Subscriptions are billed in advance on a recurring basis (monthly, quarterly, or annually) based on your selected plan. Payment is due at the start of each billing cycle.
4.2 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method on file for renewal fees.
4.3 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice before price changes take effect. Continued use after a price change constitutes acceptance of the new pricing.
4.4 No Refunds
All payments are non-refundable. If you cancel your subscription, you will retain access until the end of your current billing period, but no refund will be issued for unused time.
4.5 Failed Payments
If payment fails, we may suspend your access until payment is successfully processed. We may terminate accounts with repeated payment failures.
5. Free Trials
We may offer free trial periods at our discretion. During a trial:
- You will have access to the full Service features
- Trial ends automatically; no payment is required to end it
- We reserve the right to limit trial eligibility to one per person/organization
- We may modify or discontinue trial offers at any time
6. Use of Artificial Intelligence
Critical AI Disclaimer
We sometimes use artificial intelligence (AI) to process bid information. AI-generated content may contain errors, inaccuracies, omissions, or outdated information. You are solely and entirely responsible for verifying all bid details, deadlines, requirements, and other information at the original government source before making any decisions or taking any actions.
Our Service may use AI and automated systems to:
- Identify and filter potential medical/healthcare bid opportunities from government sources
- Categorize bids into relevant categories
- Extract and summarize key bid information (titles, deadlines, organizations, locations)
- Power search and recommendation features
AI Limitations - You Acknowledge and Agree:
- AI is not used on all bids - some content is processed through other automated or manual methods
- AI-generated content (including summaries, categorizations, extracted deadlines, and other data) may be wrong, incomplete, outdated, or misleading
- We make absolutely no guarantee or warranty regarding the accuracy, reliability, completeness, or fitness for purpose of AI-generated content
- You must independently verify all information at the original government bid source before taking any action
- Medexium is not responsible or liable for any errors in AI-generated content
- Medexium is not responsible or liable for any decisions, actions, missed opportunities, or losses resulting from reliance on AI-generated content
- Your use of the Service constitutes acceptance that you bear all risk associated with AI-generated content
7. User Responsibility to Verify Information
Your Sole Responsibility
You acknowledge and agree that it is your sole and exclusive responsibility to verify all bid information, deadlines, requirements, eligibility criteria, and other details directly with the issuing government agency or at the original bid source before making any business decisions, submitting any bids, or taking any other action.
You specifically acknowledge that:
- Bid deadlines displayed on our platform may be incorrect or outdated
- Bid requirements and eligibility criteria may have changed since we collected the information
- Bids may have been cancelled, amended, or closed without our knowledge
- Contact information, locations, and other details may be inaccurate
- Category classifications may not accurately reflect the true nature of a bid
- Information may have been incorrectly extracted, summarized, or categorized
Failure to verify information at the original source is at your own risk. Medexium shall have no liability for any consequences arising from your failure to verify information.
8. Acceptable Use
8.1 Permitted Use
You may use the Service solely for your internal business purposes to identify and track government bid opportunities.
8.2 Prohibited Conduct
You agree NOT to:
- Share, resell, or redistribute access to the Service or its data
- Scrape, crawl, or systematically download bid data for redistribution
- Use automated tools to access the Service (except as provided by our interface)
- Attempt to circumvent access controls or security measures
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service or servers
- Impersonate any person or misrepresent your affiliation
- Transmit malware, viruses, or harmful code
- Violate any applicable laws or regulations
9. Intellectual Property
9.1 Our Content
The Service, including its design, features, software, AI models, and proprietary methodologies, is owned by Medexium and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
9.2 Government Bid Data
Government bid information reviewed through our Service is derived from publicly available sources. We do not claim ownership of underlying government data. Our value-added processing, organization, and presentation of this data is proprietary.
9.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution to you.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM:
- ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE
- ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF BID INFORMATION
- ANY WARRANTY REGARDING THE ACCURACY OF AI-GENERATED CONTENT, SUMMARIES, CATEGORIZATIONS, OR EXTRACTED DATA
- ANY WARRANTY THAT USE OF THE SERVICE WILL RESULT IN CONTRACT AWARDS, BUSINESS SUCCESS, OR ANY SPECIFIC OUTCOME
- ANY WARRANTY THAT BID DEADLINES DISPLAYED ARE ACCURATE OR CURRENT
Important Notice:
Bid information is sourced from third-party government sources over which we have no control. We do not independently verify the accuracy of information from these sources. Government sources may contain errors, may be updated without notice, and may not reflect current bid status. ALWAYS verify bid details, deadlines, and requirements with the issuing agency before taking any action.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- MEDEXIUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF CONTRACTS OR POTENTIAL CONTRACTS
- MISSED BID DEADLINES OR SUBMISSION OPPORTUNITIES
- LOSS OF DATA OR GOODWILL
- BUSINESS INTERRUPTION
- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
- OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD)
- WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM:
- INACCURATE, INCOMPLETE, OR OUTDATED BID INFORMATION
- ERRORS IN AI-GENERATED CONTENT
- MISSED DEADLINES OR OPPORTUNITIES
- DECISIONS MADE BASED ON INFORMATION FROM THE SERVICE
- YOUR FAILURE TO VERIFY INFORMATION AT ORIGINAL SOURCES
- ACTIONS OR INACTIONS OF GOVERNMENT AGENCIES
- CHANGES TO BIDS AFTER INFORMATION WAS COLLECTED
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law. The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
12. Indemnification
You agree to indemnify, defend, and hold harmless Medexium, its officers, directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of third parties
- Any business decisions made based on information from the Service
- Your failure to verify information at original government sources
- Any claims by third parties related to your use of information obtained through the Service
13. Termination
13.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
13.2 By Us
We may suspend or terminate your access immediately, without notice, if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Payment fails and is not resolved
- We discontinue the Service
13.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
14.2 Arbitration
Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language in a location mutually agreed upon, or remotely if preferred.
14.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.
14.4 Small Claims Exception
Either party may bring individual claims in small claims court if the claim qualifies.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms on this page
- Updating the "Last Updated" date
- Sending email notification for significant changes
Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Medexium regarding the Service.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
16.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
16.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
16.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
